Completed MINOR RELEASE FORMS must be submitted with the video submission for submission to be considered in the contest. Failure to submit a necessary MINOR RELEASE FORM or the Video Appearance Release Form (for Finalists) will result in disqualification from the contest.
2. CONTEST SCHEDULE: You may enter the Contest between 12:00:01 a.m. Eastern Standard Time ("ET") on 2/15/2010 and 11:59:59 p.m. ET on 5/1/2010 ("Contest Period"). Sponsor reserves the right to extend the deadline by up to three weeks if deemed necessary at its sole discretion.

Upon uploading or mailing in a Submission, you agree that Sponsor is entitled to all rights associated with the Submission, including, but not limited to full usage, reproduction, performance, and modification. Submissions that do not include all required information and adhere to these Official Rules as determined by Sponsor in its sole discretion, will be considered void. Once uploaded, Submission will not be returned. Sponsor may, in its sole discretion, remove, delete and/or disqualify any Submission it deems inappropriate or otherwise non-compliant.
4. CREATIVE ASSIGNMENT: The Lean Forward Media Project 2.0 ‘Video Meets Baby Boomers’ is all about understanding people age 50+ and their interaction with digital media and technology. We want you to let us know what people in that age group are really doing, or not doing, with digital media across different channels and devices.
How are they communicating, shopping, working or enjoying entertainment? How about finding information and conducting daily life activities? Let us know how they interact with different digital mediums and channels, or compare with traditional forms of non-digital media and technology.
We need you to show us something insightful and compelling, and provide true qualitative learning. It is recommended that you point out at least 5 specific qualitative learnings and convey them clearly in your video presentation.
For reference, you may refer to Lean Forward Media Project 1.0 ‘What’s Clicking with Kids’ focused on youth and their interactions with digital media and technology. Watch the LFMP 1.0 video clips. Through first person interviews with kids, we were able to glean various insights about them beyond the standard statistics. From the diversity of kids and their age group’s micro segments, to their preference to communicate passively over digital means, as well as their dependence on mobile devices and attitudes towards digital advertising, we really gained some valuable insight.
You have the opportunity to make it as one of three Finalists to win prizes. If you are selected as the first place winner, you will receive $10,000 and the opportunity to present your video piece at an upcoming conference. Two second place winners will each receive $5,000.

Three (3) finalist Submissions (each a "Finalist") will be selected by a judging process in which a qualified panel of judges ("Judges") will evaluate each eligible Submission based on the Judging Criteria set forth above in Section 4. In the event of a tie for the fifth Finalist spot, the tie will be broken based on the highest score in the first Judging Criteria, continuing thereafter to each Judging Criteria in order, as needed to break the tie. All Finalists are subject to verification, including without limitation, verification of eligibility, compliance with these Official Rules and completion of release forms. If attempted notification is returned as undeliverable, if a Finalist cannot be verified, or if a Finalist is otherwise unable to accept prize, prize will be forfeited and may be awarded to an alternate Finalist provided sufficient time remains, in Sponsor's discretion.
Entrants agree that the Sponsor has the sole right to decide all matters and disputes arising from this Contest and that all decisions of Sponsor are final and binding. Finalists, by acceptance of the Finalist Prize (defined below) or the Grand Prize, agree to release, indemnify and hold harmless Sponsor and Contest Parties, as well as each of their respective parent and affiliated companies (“24/7 Entities”), and each of their employees, representatives, contractors, advertisers and sponsor from any and all liability, loss, damage, cost or claim relate to any allegation regarding the acceptance or use of their prize, including but not limited to the airing of the commercial Submission.
All Entrants need to submit a video release form for each person appearing in the Entrant’s video.

8. PRIZE DETAILS:
A. Two (2) FINALISTs PRIZE WINNERS: Two Finalists shall receive a prize of $5,000 ("Finalist Prize").
B. One (1) GRAND PRIZE WINNER. One Finalist will be selected as the Grand Prize Winner of the contest and will receive a prize of $10,000, and will have his or her Submission screened at the 24/7 Real Media Digital Summit event to be held on June 10, 2010 in New York City (collectively, the “Grand Prize”).
The Grand Prize may include transportation (including airfare to New York, New York) and one night accommodations for Grand Prize Winner. All meals, gratuities, and other expenses associated with the Grand Prize package not specifically mentioned in these rules are the winner's sole responsibility. All travel must be completed on the dates specified by Sponsor, or Grand Prize will be forfeited. If the Grand Prize Winner is a minor, the eligible minor may take the trip as the Grand Prize Winner's Guest only if the Grand Prize Winner is accompanied by the eligible minor's parent or legal guardian. The minor Grand Prize winner and parent/guardian must travel on same itinerary. In the event that the Grand Prize Winner and/or his parent/guardian elect not to participate in any or all designated activities for the prize, Grand Prize Winner will be afforded no additional compensation in exchange therefore.
No substitution of prize is offered, except at the sole discretion of the Sponsor. Prizes are non-transferable. Unclaimed prizes will not be awarded. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute prize with another prize of equal or greater value.
The Sponsors reserve the right to remove the Submission from its site, choose not to publish Submission or change the prizes, dates and number of winners, at its sole discretion at any time and with or without notice.
Winners will be responsible for any and all taxes of any applicable jurisdictions, including without limitation all US federal, state and/or local taxes resulting from acceptance of any and all prizes associated with this Contest. Prize winners cannot assign or transfer the prize to another person. No prize substitution or changes are allowed except at the discretion of Sponsor. In the event sums payable under the Contest become subject to income or profits taxes under the tax laws of any country, Sponsor may, if and to the extent required by law, withhold from any payment the amount of said income or profits taxes due and required to be withheld of each payment. If applicable, winner may receive an IRS Form 1099 for the retail value of the prize.
If it is found that a prize recipient does not hold full rights to the winning Submission, or otherwise violates the Official Rules, prizes may be withheld or reimbursement required for already issued prizes.
If a prize is won by a Minor, the prize shall be awarded to the Minor’s parent/ guardian who must execute the required documentation, if any, on the Minor’s behalf.
9. WINNER NOTIFICATION: Grand Prize Winner and the Finalist Prize Winners will be notified by phone and/or email on or around June 10, 2010 and will be required to complete, sign and return an Affidavit of Eligibility/Liability Release or Grand Prize/Finalist prize will be forfeited and an alternate Finalist may be selected as Grand Prize Winner or Finalist Prize Winner. The Grand Prize Winner will also be required to sign a prize acceptance form prior to their Submission.
To be eligible to win prizes, Entrants may be required to execute additional agreements confirming the Official Rules of the Competition and other requirements as may be established by Sponsor.
Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to Entrants. By accepting a prize, Finalist (whether Grand Prize Winner or Finalist Prize Winner), or a parent or legal guardian if Finalist is a minor, agrees, and agrees in writing if requested, that the Submission will be deemed a Work Made For Hire under the Copyright Laws of the United States, but if it cannot be so deemed, then the Finalist agrees to irrevocably assign and transfer to Sponsor all of his/her right, title and interest in and to his/her Submission, if any, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Finalists hereby waive in favor of Sponsor, all rights of "Droit Moral" or "Moral Rights of Authors" or any similar rights or principles of law that Finalist may now or later have to his/her Submission. Sponsor reserves the right to alter, change or modify a winning Submission, in its sole discretion. Upon request of Sponsor, Finalist shall execute and deliver such additional instrument of assignment, as may be solely deemed by Sponsor, reasonably necessary to establish the ownership of record of the right, title and interest in and to the Submission and of the copyrights transferred and "Moral Rights of Authors" waived under these Official Rules. Should Sponsor fail to request the said assignment as stated, that shall not be deemed a waiver of Sponsor's rights and Sponsor may at a later time request the assignment.
10. PRIVACY POLICY: The protection of Entrants’ information is important to us. Any personal or non-personal information supplied to Sponsor through the process of submitting a submission in this Contest shall be retained solely for the purposes of running the Contest described herein. In accordance with the right to use, reproduce, modify, and perform any submitted entries, Sponsor, Contest Parties, and 24/7 Real Media Entities reserves the right to use Entrants’ personal information for display and marketing purposes only. Unless an Entrant’s submission is selected as a winning submission or Finalist or used for marketing purposes, the Entrant’s personal information will not be transferred, sold, assigned, or used for any other purposes except those described herein, unless consent has been obtained.

11. 12. MISCELLANEOUS.
A. 24/7 Real Media, Inc. and each of its respective subsidiaries, affiliates, shareholders, officers, directors, agents, representatives and employees (collectively, the “24/7 Entities”) will have no liability or responsibility for any claim arising in connection with participation in this Promotion or any prize awarded.
B. If for any reason the Contest is not capable of running as planned, including without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right, at its sole discretion to cancel, modify or terminate the Contest. Further, Sponsor reserves the right, at its sole discretion, to disqualify any individual deemed to be (a) tampering or attempting to tamper with the submission process or the operation of the Contest or any Sponsor or Contest-related Web Site; (b) violating the Official Rules; (c) violating the Web Site terms of service, conditions of use and/or applicable general rules or guidelines; or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. This Contest is offered only in the United States and is governed by the laws of the state of New York. All claims relating in any manner to this Contest or to any Submission must be resolved in the federal or state courts located in New York County, New York.
C. All Submissions will be reviewed for content before being published or judged; however, such review does not relieve Entrant from responsibility for compliance with all of the Terms of Service and these Official Rules. Submissions that do not comply in all material respects with the Terms of Services or these Official Rules or that otherwise contain prohibited, or inappropriate content as determined by the Sponsor, in its sole discretion, will be disqualified and will not be published or considered for prizes. Sponsor makes the final determination as to which Submissions are eligible to take part in this Contest and be considered a Finalist, for a Finalist Prize, or for the Grand Prize. Certain Submissions may be featured from time to time on the Web Site during the Contest Period, in Sponsor's sole discretion; being selected as a featured Submission is unrelated to the Judging Criteria and does not guarantee selection as a Finalist or winner in the Contest.
D. BY ENTERING THIS CONTEST AND UPLOADING YOUR SUBMISSION, YOU IRREVOCABLY GRANT TO SPONSOR AND ITS AGENTS THE UNCONDITIONAL AND PERPETUAL RIGHT TO POST, DISPLAY, PUBLISH, USE, ADAPT, EDIT AND/OR MODIFY SUCH SUBMISSION IN ANY WAY, IN ANY AND ALL MEDIA, FOR ANY PURPOSE, WITHOUT LIMITATION, AND WITHOUT CONSIDERATION TO YOU. FINALISTS AGREE TO IRREVOCABLY ASSIGN AND TRANSFER TO THE SPONSOR ANY AND ALL RIGHTS, TITLE AND INTEREST IN SUBMISSION, INCLUDING, WITHOUT LIMITATION, ALL COPYRIGHTS AND WAIVE ALL MORAL RIGHTS IN SUBMISSION. ALL CONTEST ENTRANTS FURTHER AGREE TO RELEASE AND INDEMNIFY AND HOLD HARMLESS THE 24/7 ENTITIES (AS DEFINED BELOW), SPONSOR AND THE CONTEST PARTIES FROM ANY AND ALL CLAIMS THAT ANY COMMERCIAL, ADVERTISING, PRESENTATION, WEB CONTENT OR ANY OTHER MATERIAL SUBSEQUENTLY PRODUCED, PRESENTED, AND/OR PREPARED BY OR ON BEHALF OF SPONSOR INFRINGES ON THE RIGHTS OF ENTRANT'S WORK AS CONTAINED IN ANY SUBMISSION.
E. LIMITATIONS OF LIABILITY AND RELEASE: No liability or responsibility is assumed by the 24/7 Entities, Sponsor or Contest Parties resulting from any user's participation in or attempt to participate in the Contest or ability or inability to upload or download any information in connection with participating in the Contest. No responsibility or liability is assumed by the 24/7 Entities, Sponsor or Contest Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Contest: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Web Site in whole or in part for any reason; traffic congestion on the Internet or the Web Site; unauthorized human or non-human intervention of the operation of the Contest, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Contest, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with the Contest. The 24/7 Entities, Sponsor and the Contest Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment resulting from participation in the Contest, use of the Web Site or the download of any information from the Web Site. By participating in the Contest, the Entrant releases Sponsor and Contest Parties from any and all claims, damages or liabilities arising from or relating to such Entrant's participation in the Contest. By accepting a prize in the Contest, winners agree that the Sponsor and Contest Parties shall not be liable for any loss or injury resulting from participation in the Contest, acceptance or use of any prize, or any travel related thereto. Sponsor and Contest Parties are not liable in the event that any portion of the Contest, event or the event broadcast is cancelled due to weather, fire, strike, acts of war or terrorism, or any other condition beyond their control (a "Force Majeure Event"). LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE THIS WEB SITE OR INTERFERE WITH THE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
G. If any part of these Official Rules is held invalid or unenforceable, that portion hall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. The Sponsor’s failure to pursue any available claim or defense pursuant to these Official Rules or otherwise will not be a waiver of such claim or defense. The headings used in these Official Rules are for convenience only, and will have no effect on the interpretation or legal enforceability of the terms herein.
